Question:

We want to set up a small legal entity (branch office) of our Rwanda HQ in DRC. We are into ICT Services so please advise what are the steps and what are the costs for this with the basic investment

To create a branch in the Democratic Republic of Congo, you must first have a legal existence of your company in Rwanda, then take a decision to open the branch and appoint the local manager.

Generally, a decision of the general assembly or of the board of directors, depending on the corporate form and the statutory provisions, will allow your company to take a decision opening the branch in the DRC.

Finally, the Congo is in the OHADA area, your branch will therefore have to obtain its registration at the Trade and Personal Property Credit Register (RCCM) on the basis of the opening decision and the proof of the existence of your company in Rwanda.
